Welcome to Inspirited AI. By accessing or using our platform, APIs, services, or any associated software (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

Inspirited AI provides enterprise-grade voice agent infrastructure, including APIs, developer tools, and related services that enable organizations to build, deploy, and manage voice-based AI agents. The specific features and functionality of the Services may change from time to time.

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Interfere with or disrupt the integrity or performance of the Services or related systems
• Attempt to gain unauthorized access to the Services or related systems or networks
• Use the Services to develop competing products or for benchmarking purposes without our prior written consent
• Reverse engineer, decompile, or disassemble any aspect of the Services except as permitted by law
• Use automated means to access the Services in a manner that exceeds reasonable request volumes or constitutes abuse

The Services and all associated intellectual property rights are owned by Inspirited AI and its licensors. These Terms do not grant you any rights to use our trademarks, logos, or brand features without our prior written consent.

You retain ownership of any content you submit to the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store such content solely to provide and improve the Services.

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the collection and use of information as described in our Privacy Policy.

You are responsible for ensuring that your use of the Services complies with all applicable data protection and privacy laws, including obtaining any necessary consents from end users.

Certain features of the Services may be subject to fees. You agree to pay all applicable fees as described on our pricing page or in your order form. Fees are non-refundable except as expressly stated in these Terms or required by law.

We reserve the right to change our fees upon reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

We strive to provide reliable and high-quality Services. However, we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. We may perform scheduled maintenance that temporarily limits availability.

Enterprise customers may be eligible for service level agreements (SLAs) and dedicated support as specified in their individual contracts.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will meet your requirements, that results obtained from the Services will be accurate or reliable, or that any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSPIRITED AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Inspirited AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

These Terms are effective until terminated. You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.

We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Services prior to the changes becoming effective. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

These Terms constitute the entire agreement between you and Inspirited AI regarding the Services and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
